Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of Riff Pile (the "Service"), a multi-tenant band archive operated by Dev Hero ("we," "us," or "Dev Hero"), based in Rhode Island, USA.

By creating an account, accepting an invite, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a band or organization, you represent that you have authority to bind it. If you do not agree, do not use the Service.

2. The Service

Riff Pile provides private workspaces for bands and artists to organize songs, audio recordings, practices, shows, flyers, album art, setlists, availability, and related materials. Workspaces are multi-user: members you invite can access content shared within that band.

Band workspaces are private by default. Content is not published to the public internet through the Service unless a feature you explicitly use is designed to share it. Features, storage limits, and member caps depend on your plan (Free or Pro). We may change, suspend, or discontinue features with reasonable notice when practical.

3. Accounts, access & eligibility

You must provide accurate account information and keep your login credentials secure. You are responsible for activity under your account. Authentication is provided by Clerk; you must comply with Clerk's terms as well.

Access to the Service may be invite-only or limited by access codes during early access or otherwise. Band membership is controlled by workspace owners and admins who invite members by email. You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service.

4. Your content

You retain ownership of songs, recordings, images, notes, and other materials you upload ("Content"). You grant Dev Hero a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Content solely as needed to operate, secure, and provide the Service to you and your bandmates — including backups, caching, and technical delivery.

You represent that you have the rights needed to upload Content and that it does not violate law or others' rights. Do not upload malware, illegal material, or content you are not authorized to share with your workspace members.

When you invite others to a band, they may view and (depending on role) edit Content in that workspace. You are responsible for who you invite and for Content posted under your account.

5. Acceptable use

You agree not to:

• Attempt to access another band's workspace without authorization
• Abuse, disrupt, reverse-engineer, scrape, or overload the Service
• Use the Service to harass others, distribute spam, or violate the law
• Circumvent plan limits, billing, invite gates, or access controls
• Upload Content that infringes intellectual property or privacy rights

We may suspend or terminate accounts that violate these Terms or create risk for the Service or other users.

6. Plans, billing & cancellation

The Service offers a Free plan and a paid Pro plan. Limits and fees are shown on the pricing page and in your band settings. Plans are billed per band (not per member) through Stripe.

Some access codes may grant a Pro trial or complimentary Pro access. When a trial ends or complimentary access is removed, the band reverts to Free plan limits unless you subscribe. Existing Content generally remains, but new uploads or additions may be blocked until you are within Free limits or upgrade.

Unless required by law, paid fees are non-refundable. You can cancel a subscription through the Stripe billing portal linked from band settings; paid access typically continues through the end of the current billing period unless otherwise stated. Failed payments may result in downgrade or suspension after any grace period we provide.

We may change prices or plan features with notice; changes apply prospectively and will not alter amounts already charged for the current period unless required by law.

7. Third-party services

The Service relies on third parties such as Clerk (authentication), Stripe (payments), Cloudflare (including R2 object storage), and our database and hosting providers. Your use of those services may be subject to their own terms. We are not responsible for outages or acts of third-party providers beyond our reasonable control.

8. Disclaimer

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted or error-free operation, that the Service will meet your needs, or that Content will never be lost, corrupted, or unavailable. Keep your own backups of irreplaceable recordings and materials.

9. Limitation of liability

To the fullest extent permitted by law, Dev Hero and Riff Pile will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages.

Our total aggregate liability for any claim relating to the Service is limited to the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the claim, or (b) fifty U.S. dollars (US $50) if you are on a free plan or have paid nothing.

Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the maximum extent permitted by law.

10. Indemnity

You agree to defend and indemnify Dev Hero and its operators against claims, damages, and expenses (including reasonable attorneys' fees) arising from your Content, your use of the Service, or your breach of these Terms, to the extent permitted by law.

11. Termination

You may stop using the Service at any time. You may request deletion of an account or band workspace by emailing hello@riffpile.com.

We may suspend or end access if you breach these Terms, fail to pay, misuse the Service, or if we discontinue the Service. After termination, Content may be deleted according to our retention practices described in the Privacy Policy.

12. Changes

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date on this page. Where appropriate, we may also provide additional notice. Continued use after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the State of Rhode Island and the United States, without regard to conflict-of-law rules. Courts located in Rhode Island will have exclusive jurisdiction over disputes arising from these Terms or the Service, except where applicable law requires otherwise.
